1. Application of Terms

These Terms & Conditions ("T&Cs") apply to your access and use of www.UbookTherapy.com (the "Site"), including all software, data, reports, text, images, sounds, video, and content made available through any portion of the Site (collectively, the "Content"). Content includes all such elements as a whole, as well as individual elements and portions thereof.


2. Acceptance of Terms

UbookTherapy Ltd. and any of its affiliates (collectively, "UBT") permit you ("User" or "you" or "your") to access and use the Site and Content, subject to these T&Cs. By accessing or using any portion of the Site, you acknowledge that you have read, understood, and agree to be bound by these T&Cs.

If you are entering into these T&Cs on behalf of a company or other legal entity ("User Entity"), you must have the legal authority to contractually bind such User Entity to these T&Cs, in which case the terms "you" or "your" or "User" will refer to such User Entity. If you lack such legal authority or you do not agree with these T&Cs, you must not accept these T&Cs or access or use the Site or Content.


3. Updates to These Terms

UBT reserves the right, at its sole discretion, to change or modify portions of these T&Cs at any time. UBT will post the changes on the Site and will indicate at the top of this page the date these terms were last revised. It is your responsibility to check the T&Cs periodically for changes. Your continued use of the Site and Content after the date any such changes become effective constitutes your acceptance of the new or revised T&Cs.


4. Important Platform Disclaimer

UbookTherapy is a technology platform that connects users with independent, licensed therapists and mental health therapists. UBT is not a healthcare provider, does not provide medical or therapeutic advice, and does not practice therapy or counselling. UBT does not employ the therapists listed on the platform; all therapists are independent practitioners who are solely responsible for the care they provide.

The platform does not endorse, guarantee, or make any representations regarding the qualifications, competence, quality, or suitability of any therapist. While UBT verifies credentials during the onboarding process, users are encouraged to independently verify a therapist's qualifications and licensure status before beginning therapy.

The Content on this Site, including articles, resources, and other materials, is provided for informational purposes only and should not be considered a substitute for therapist medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions regarding a medical or mental health condition.


5. Eligibility and Age Requirements

The Site and its services are intended for users who are at least 18 years of age. If you are under the age of 18, you may only use the Site and services with the consent and supervision of a parent or legal guardian. By allowing a minor to use the platform, the parent or guardian agrees to these T&Cs on behalf of the minor and assumes full responsibility for the minor's use of the Site.

UBT offers services designed for children and youth (ages 4 and above). In all cases involving minors, a parent or legal guardian must create the account, provide consent, manage bookings, and oversee the minor's participation in therapy sessions.


6. General Conditions of Access and Use

6.1 Authorization

Subject to your compliance with these T&Cs, you may access and use the Site and Content for the purpose of browsing therapist profiles, booking sessions, and using the services offered by UBT.

6.2 Ownership and Restrictions

All rights, title, and interest in and to the Site and Content remain with and belong exclusively to UBT. You will not:

•       Sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit or make the Site and Content available to any third party.

•       Use the Site and Content in any unlawful manner, including in violation of any data privacy or export control laws, or in any manner that interferes with or disrupts the integrity or performance of the Site.

•       Modify, adapt, or hack the Site and Content to gain unauthorized access to restricted portions of the Site or related systems or networks.

You may download, display, and print one copy of publicly available Content on a single device solely for your personal, non-commercial use, provided that you do not modify the material and you keep intact all copyright, trademark, and proprietary notices.

You may not use any automated program, device, algorithm, or manual process (such as page scrapers, deep links, spiders, or robots) to access, copy, acquire, or monitor any portion of the Site, or reproduce or circumvent the navigational structure of the Site. You may not forge headers or impersonate any other individual or entity.

6.3 Responsibility for Your Data

You are solely responsible for all data, information, and other content that you upload, post, or otherwise provide in connection with or relating to the Site.

6.4 Reservation of Rights

UBT and its licensors each own and retain their respective rights in and to all logos, company names, marks, trademarks, copyrights, trade secrets, know-how, patents, and patent applications that are used or embodied in or otherwise related to the Site and Content. UBT grants no rights or licenses (implied, by estoppel, or otherwise) whatsoever to you under these T&Cs.


7. Interruption of Service

We work hard to keep the platform available and reliable. However, access to the platform may be temporarily interrupted or limited from time to time due to scheduled maintenance, unexpected technical issues, service outages from third-party providers, or events outside our reasonable control.

If an interruption occurs, we will make reasonable efforts to restore access as quickly as possible. Except where prohibited by law, UbookTherapy is not liable for any losses resulting from temporary interruptions, but we will not charge you for any period in which the platform is unavailable for an extended duration.

We encourage all users to regularly export or back up their records to ensure continued access in the event of an outage.


8. Cancellation and Refund Policy

Cancellation and refund policies for individual therapy sessions are determined by each therapist. Please refer to the specific therapist's profile for their terms regarding cancellations, rescheduling, and refunds.

In addition, the following platform-level policies apply:

•       If a session cannot take place due to a technical issue on UBT's platform, UBT will facilitate a full refund or reschedule at no additional cost to the user.

•       Users who wish to cancel a booking should do so as early as possible. Each therapist's minimum notice period for cancellations is stated on their profile.

•       Platform service fees, if any, are non-refundable unless otherwise stated.

9. User Content

9.1 License to User Content

By posting information and other content ("User Content") on or through the Site, you grant UBT a worldwide, non-exclusive, royalty-free license to use, reproduce, and display User Content solely to the extent necessary to operate, maintain, and provide the services of the platform.

This license does not extend to sensitive health information shared during therapy sessions. Session content exchanged between you and your therapist is confidential and is not accessed, used, or shared by UBT except as required by law or as described in our Privacy Policy.

UBT has the right, but not the obligation, to monitor the Site and User Content. UBT may remove or disable any User Content at any time for any reason, including content that violates these T&Cs.

9.2 Data Security

UBT takes the security of your data seriously. All data transmitted through the platform is encrypted using industry-standard SSL/TLS protocols. We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction.

While we strive to protect your personal information, no method of transmission over the Internet or electronic storage is completely secure. We cannot guarantee absolute security, but we are committed to maintaining the highest practicable standards of data protection.

9.3 Feedback

You may submit ideas, suggestions, or comments ("Feedback") regarding the Site or UBT's services. By submitting Feedback, you acknowledge and agree that UBT may use and incorporate such Feedback without any obligation of compensation or attribution to you. Feedback is not considered confidential information.


10. Your Representations and Warranties

You represent and warrant to UBT that your activity on the Site and UBT's possession and use of User Content as contemplated in these T&Cs do not and will not violate, infringe, or misappropriate any third party's copyright, trademark, right of privacy or publicity, or other personal or proprietary right, nor does User Content contain any matter that is defamatory, obscene, unlawful, threatening, abusive, or harassing.


11. Disclaimer of Warranties

The Site and Content and all server and network components are provided on an "as is" and "as available" basis without any warranties of any kind. UBT expressly disclaims all representations and warranties, including any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.

You acknowledge that UBT does not warrant that your access to or use of the Site and Content will be uninterrupted, timely, secure, error-free, or virus-free. No information, advice, or services obtained from UBT or through the Site will create any warranty not expressly stated in these T&Cs.


12. Limitation of Liability

To the maximum extent permitted by applicable law, UBT, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with your use of or inability to use the Site or services, even if UBT has been advised of the possibility of such damages.

In no event shall UBT's total aggregate liability to you for all claims arising out of or relating to these T&Cs or your use of the Site exceed the total amount paid by you to UBT in the twelve (12) months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.


13. Indemnification

You agree to indemnify, defend, and hold harmless UBT, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

1.     Your use of or access to the Site or services.

2.     Your violation of these T&Cs.

3.     Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.

4.     Any User Content you post or submit through the Site.


14. Termination of Access

UBT may, in its sole discretion and without prior notice, terminate your access to the Site if we determine that you have violated these T&Cs or other applicable agreements. UBT may also terminate your access for cause, which includes but is not limited to:

1.     Requests by law enforcement or other government agencies.

2.     Discontinuance or material modification of the Site or any service offered through the Site.

3.     Unexpected technical issues or problems.

You agree that any violation of these T&Cs may cause irreparable harm to UBT, for which monetary damages would be inadequate, and you consent to UBT obtaining any injunctive or equitable relief that UBT deems necessary or appropriate.


15. Copyright Infringement Notices

If you believe that copyrighted content is accessible or hosted on UbookTherapy.com, you may submit a notice to UBT's designated agent via email at [email protected].

For users in the United States, notices should comply with the Digital Millennium Copyright Act (DMCA). For users in Canada, notices should comply with the "notice and notice" regime under the Canadian Copyright Act. All notices must include:

1.     The signature of the copyright owner or an authorized agent.

2.     Identification of the copyrighted work claimed to have been infringed.

3.     Identification of the infringing material and information sufficient to permit UBT to locate it.

4.     Contact information for the copyright owner or authorized agent.

5.     A statement that the person sending the notice has a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.

6.     A statement that the information in the notice is accurate and that the person is authorized to act on behalf of the copyright owner.


16. Governing Law and Dispute Resolution

These T&Cs shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these T&Cs, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration or the courts of competent jurisdiction in the applicable province, at UBT's discretion.


17. General Provisions

These T&Cs and any modifications made by UBT constitute the entire agreement between you and UBT with respect to your use of the Site. The failure of UBT to exercise or enforce any right or provision of these T&Cs will not be a waiver of that right.

Any notices to UBT in connection with these T&Cs will be made by email transmitted to [email protected].

If any provision of these T&Cs is determined to be illegal or unenforceable, that provision will be revised to give the maximum permissible effect to its original intent or, if such revision is not permitted, that specific provision will be eliminated so that these T&Cs will otherwise remain in full force and effect.
